Structured Finance’s international team of 40 experienced, multi-disciplinary professionals arranges and participates in tailored structured finance solutions for corporate clients with specific financial objectives, who may face specific credit/solvency, fiscal, accounting or legal/ regulatory challenges.
The Structured Finance team offers three distinctive product categories:
Junior Capital
Junior Capital includes all corporate financings which rank between (super) senior debt and straight equity. These could vary from preferred equity, profit participating loans, PIK loans, (mandatorily) convertible loans, pre-IPO financings, second lien, subordinated debt, share financings etc.
Vendor Finance
Vendor Finance involves assisting clients to promote their sales by providing financing for (potential) buyers of their products. This may include outright buyer financing, finance programmes (with limited recourse) to the seller, or structures in which risks are insured by third parties etc.
Structured Finance
The drivers behind structured finance solutions can be very diverse. The main trends include companies whose focus is on their core business and aiming at improving returns on their assets. Transactions could focus on a reduction of working capital or removal of certain fixed assets from the balance sheet, for instance via sale and lease back or asset repo.
In addition, we are seeing a growing need among our clients to monetise their contracts, i.e. future cash flows. We also structure funds to support suppliers or buyers of our clients and manage the related special purpose vehicles.

Putting a Supplier Finance programme in place enables you to offer your suppliers an alternative and competitive source of financing.
Supplier Finance is a partnership involving you, your suppliers and Rabobank.
Such a programme enables you to offer your suppliers the opportunity to receive an earlier payment than the contractually agreed payment from Rabobank that is financed at a discount. This discount is typically lower than their cost of capital and is based on the credit profile of your company and the remaining days in the payment term. When the invoice matures, you would then pay the full invoice amount to Rabobank at no further cost. For the supplier, this means prompt payment and a relatively lower cost of capital, without any negative impact on your own working capital.
